WI~ESSETH: WHE~AS, On March 3 I, 1998, Lessor eXecuted an Oil and Gas Lea~'t~corded in Book 410, at page 256 in favor of Lessee covering the following described lands in Lincoln County, ..Wyoming. Township 23 No~, Range 116 West See. l: Lots 2(39.91,~NE~), 3(34.55, NE~ANE~), 4(15.45, NW~NW~), 5(28.16,Se~NW~), 6(33.45,NE%SW%), 7(17.69,~SW~), SWINE,, W~SE~, SV~SW~A Sec. 2: Lots 4(24.34,NW~SE~), 5(17.65,NE~SE%), SE~SE~ Sec. 12: N~NW~, 8E~, W~NE~, NW~SE~, NE~SW~ Tract 37 24739 Acres (Sec. 1, 2) Tgwnship 24 No~h, R~ge 116 West Sec. 35: Lot 1(21.91, SE~SE~), N~SE~ Lot 37 36.27 Acres (Sec. 35, 36) NOW THE~FO~, in consideration of the sum of Two thousand seven hundred ninety-one dollars and 92/100 ($2,791.92) and other good and valuable consideration, receipt of which is hereby ac~owledged, Lessor does hereby ratify, approve, confi~ and adopt the above described oil and gas lease and any exhibits, a~achments, anWor amendments thereto ("the Lease"), and does hereby lease, grant, demise and let the lands described on Exhibit "A" attached hereto and made a pa~ horegfunto.Lessee, subject to and under all the te~s and provisions of the Lease and a2achments thereof and as. to the lands described on Exhibit "A" a~ached hereto and made a pm hereof, does hereby agree and declare that the Lease is now in full force and effect, that payment has been made of the entire bonus consideration and that all delay rentals and shut-in rentals, if any, necessa~ to extend the Lease have been timely paid. It is k~her ~derstood and agreed that the words and figure "t~ee (3} years" appearing in the p~ma~ tern paragraph of said Lease are hereby deleted from said Lease and in lieu thereof are substi~ted with the words and fi~re" four (4) years" from lease date. SAID LEASE shall remain unchanged, and for the consideration above recited: (a) Lessor and Lessee ratify, confim and adopt said Lease as hereby amended and ac~owledge that same is valid, subsisting and in ~I1 force and effect, and agree that the sum herein paid by Lessee to Lessor shall be considered not only as consideration for this Agreement but shall also constitute the ~11 delay rental payment accruing under said Lease' as hereby amended for the ~elve month period commencing on the above listed date; and (b) Lessor does hereby grant, lease and let the lands described on Exhibit "A" a2ached hereto and made a pa~ hereof to Lessee, its successors, subleases and assigns, upon all and singular the terms and provisions of said Lease as amended hereby. THIS LEASE EXTENSION and Adwnce Rental Pa~ent Agreement may be executed in any number ofcounte~a~s and such counte~ans shall be deemed to constitute a single agreement and the execution of one counteCan by any Lessor/Lessee shall have the same force and effect as if Lessor&essee had signed all of ~e other eounte~ans. THIS AG~EMENT shall be binding upon and shall inure to the benefit of the respective heirs, successors, legal representatives, subleases or assigns of the panics hereto. ~ WI~ESS ~E~OF, Lessor and Lessee have caused this Lease Extension and Advance Rental Payment Agreement to be duly executed as of the date first above written.
