KNOW ALL MEN BY THESE PRESENTS THAT:
In consideration cf the sum ofTen Dollars ($10.00) and other good and valuable
consideration, Duane L. ,Haley, Trustee of the ALE Trust Agreement dated October 1,
1983, whose address is g 550 East Orchard Drive, Greenwood Village, Colorado 80111,
hereinafter called "Assignor", does hereby grant, bargain, sell, convey, transfer, assign and
deliver unto Duane L. Heiley, Trustee of the Duane L. Haley Revocable Trust Agreement
dated February 8, 2002, whose address is 9550 East Orchard Drive, Greenwood Village,
Colorado 80111, h~reinafter called "Assignee", all of Assignor's undivided interest in and
to all overriding royalty in and to all oil, gas and other minerals in and under and that may
be produced, saved and sold, if] as and when produced, saved and sold, but not otherwise,
from the lands set out and covered by the Oil and Gas Lease described below (hereinafter
referred to as the "Subjec~ Property"):

Assignor does h.ereby irrevocably appoint and constitute Assignee as Assignor's
agent and attorney in fact for the limited purpose only ol~ executing division orders,
transfer orders and all other it~struments necessary to make fidly effective this conveyance
of interests, so that Assigrtee .,nay act in Assignor's place and stead fbr this limited
purpose only. Assignor agrees to execute such further assurances as may be requisite for
the thll and complete enjoyment of the rights herein granted
Assignor does her,by transfer, sell, convey and assign to Assignee, all of
Assignor's interest in any ~)roduction of oil, gas or other minerals from the Subject
Property covered herebY prior to the date hereof, insofi~r as not already distributed to
Assignor, together with any such production now held in storage tanks, and pipelines, and
any and all sums of money, suspended runs or accounts of any type or character, due or
owing to Assignor by parties by reason of any such production, including claims for the
underpayment of past royalties.

parties hereto, their heirs, successors, representatives and assigns.
