WHEREAS, the Licensor is the fee owner of a certain parcel of real property located at

Exhibit "A") and the Licensee is the fee owner of the adjoining parcel of real property located at

NOW, THEREFORE, in consideration of the terms and conditions contained herein, the
parties hereto agree as follows:
1. The Licensor for and in consideration of the premises and of the sum of
$ j. w~.~ to it in hand duly paid gives the Licensee a revocable license to continue the
encroachment as long as the Licensee remains the owner of the property adjoining the property of
the Licensor, and provided the encroaching improvement is not altered, remodeled, improved, or
phYsically changed in any manner.
2. The Licensee certifies, represents, and declares that it has no title in and to the land
of the Licensor nor to any portion thereof and has not, does not, and will not claim any such title
nor any easement over the land of the Licensor.
3. The License may be canceled by written notice to the Licensee mailed to it by
registered mail, return receipt requested, at its address as stated above, and upon the expiration of
thirty days from the date of receipt of the notice, the License shall terminate.
4. The Licensee hereby agrees to hold the Licensor harmless and to indemnify it
against any claims or demands that may be made against it by reason of the License herein granted,
and to indemnify it against the cost of opposing any such claim or demands.
