WHE~AS, Freedom, LLC and Jerw C. Rutherlbrd entered into a Contract for Deed for
Real Property on April 27th, 1999, for the purchase o1' real propeay in Lincoln County,
Wyo~ng, specifically Lot 214 of ~ver Ranches Fishing and Equestrian Estates in Freedom,
Wyo~ng, said Contract for Deed for Real Propeay having been made of record by the recording
in the land records of Lincoln County, Wyo~ng, a Memorandum of Sale of Real Propeny in
Book 429 PR at Pages 230 and 231' on April 28, 1999 as Instrument No. 858257; and
WHE~AS, in entering into that Contract for Dccd, Jer~ C Rutherford was acting for
the benefit of, and on behalf of, ~s friend, Carl E. Cassell' and
W~AS, due to the untimely death of Jer%, C Rutherford, it is now necessaw and
appropriate for the Contract for Deed for Real Propeay to be assigned to Carl E. Cassell.
NOW, T~FO~, ~n L. Kent, Personal Representative of the ~state of ]er~ C.
Kuthe~ord and C~rl E: Cassell hereby agree to assi~nmem of the Contract for Deed for ~eal
Prope~y, ~nd Freedom LLC consents to that assi~em ~o Carl E Cassell of the Contract for
Deed for Keal PropeRy, as follows;

1. Carl E. Cassell hereby agrees to assume all responsibility for the obligations of
the Buyer as stated therein for the purchase of properly in Lincoln County, Wyoming, more
particularly described as follows:
Lot 214 of River Ranches Fishing and Equestrian Estates in Freedom, Wyoming,
second filing, Lincoln County, Wyoming, according to that plat filed March .10, 1999, as
Plat No. 383 and 383-A.
2. In consideration for the assignment of the Contract for Deed for Real Property
provided herein, Carl E. Cassell hereby _a~re, gs to indemnity, save, and hold harmless the Estate
of Jerry C. Rutherford and / or.,~gu~n L. Kent, Personal Representative of said Estate, from any
and all obligations and liabilities under said Contract for Deed for Real Property for the purchase
of said property.
3. Freedom, LLC hereby consents to thc assignment, by the Estate of Jerry C.
Rutherford and / or . Kent, Personal Represemmive of said Estate, of the Contract for
Deed for Real Property provided herein to Carl E. Cassell, and unconditionally releases the
Estate of Jerry C. Rutherford and / or S~uoafi' L. Kent, Personal Representative of said Estate,
from any and all obligations and liabilities under said Contract for Deed for Real Property for the
purchase of said property.
IN WITNESS WHEREOF, the parties have executed this Memorandum of Assignment
of Contract for Deed on the date set forth above.
