This Quit Claim Deed ("Quit Claim Deed") is made and entered into and deemed
effective this fn'st day of November, 2004 at 7:00 A.M. CDT, by and from Larry J. Manion as
Trustee of The Clarence E_.. Manion Family Trust dated effective January 26, 1982, hereinafter
called GRANT~)R, whose address is 36(; South York Street, Denver, Colorado 80209 and the
Manio~n._Family LLC, a Colorado limited li ability company, hereinafter called GRANTEE,.
w-qi~e address is 366 South York Strect, Denver, Colorado 80209.
For and in consideration of thc sum ofTen Dollars ($10.00) cash in hand paid, and other
good and valuable consideration, the rccei pt and sufficiency of which are hereby acknowledged,
GRANTOR does hereby grant, bargain, sell, convey, and deliver to GRANTEE, all of
GRANTOR'S right, title and interest in aud to the oil, gas, and other minerals in and under and
that may be produced from any leases and wells associated with the lands described below,
hereinafter referred to as the PROPERTiI iS, even though the PROPERTIES may be incorrectly
described or omitted in Exhibit A, said PROPERTIES situated in Lincoln County, Wyoming
to-wit:

together with any and all ofGRANTOR'S right, title and interest in all overriding royalty and
royalty rights on oil, gas and other mincral~ that may be produced from the PROPERTIES and
any equipment thereon and appurtenances thereunto belonging to GRANTOR.
By this Quit Claim Deed GRANT()R. conveys the rights of ingress and egress, at all
times, for the purpose of mining, drilling, cxploring, operating and developing the PROPERTIES
for oil, gas and other minerals and storing, handling, transporting and marketing the same from
the PROPERTIES.
This Quit Claim Deed is made subject to any rights now existing to any lessee or assigns
under any valid and subsisting oil and gas lease of record heretofore executed; it being
understood and agreed that said GRANTI il~; shall have, receive, and enjoy the herein granted
interest in and to all bonuses; rents, royall its and other benefits which may accrue under the
terms of said lease insofar as it covers tl~c PROPERTIES and after the date hereof, precisely as if
the GRANTEE herein had been at the dale of the making of said lease the owner ora similar
undivided interest in and to the lands descri bed and GRANTEE one of the lessors therein.

GRANTOR agrees to execute and deliver such other and additional instruments, notices, transfer
orders, and other documents, and to do all such other and Ihdher acts and things as may be
reasonably necessary to more fully and effectively grant, convey and assign to GRANTEE the
rights, interests and properties conveyed or intended to be conveyed hereby.
TO HAVE AND TO HOLD the above described property with all the rights, privileges,
and appurtenances belonging to GRANTEE, its heirs, successors, personal representatives, and
assigns forever.

fi-ce and voluntary act and deed for the uses and purposes therein set forth.
