OF OIL AND GAS PROPERTIES
(Lincoln County, Wyoming)
THIS BLANKET CONVEYANCE is made and entered into between Robert H.
Hannifin, aka R. H. Hannifin, and Maxine B. Hannifin, aka Maxine Benson Hannifin, husband and
wife ("Grantors"), and Robert H. Hannifin and Maxine B. Hannifin, Trustees of the Robert and
Maxine Hannifin Trust under Trust Agreement dated March 1, 2005, whose address is P. O. Box
~ 18, Midland, TX 797 1~-0~ 18, and any successor Trustee ("Grantee").
The Grantors, as a transfer of ownership and title, and without consideration, do hereby
grant, transfer, convey and assign to the Grantee, and the Grantee's successors and assigns, all of
the Grantors' right, title and interest in and to the following property in Lincoln County, Wyoming:
(1) all interests of evepj nature in and to oil, gas and other minerals in and under
and that may be produced from property located in Lincoln County, Wyoming, including,
but not limited to, mineral interests, royalty interests, overriding royalty interests, production
payments, net profits interests, payments out of production, oil and gas leases, oil, gas and
mineral leases, and interests therein including operating rights, working interests and
leasehold interests, owned by the Grantors, vested or contingent, and specifically including,
but not limited to, (i) such rights, titles and interests of the Grantors as are reflected in the
records of Lincoln County, Wyoming, and (ii) such rights, titles and interests of the
Grantors as pertain or relate to the lands and leases described in Exhibit A attached hereto,
even though the Grantors' interest in any portion of said lands or leases which are
specifically described in Exhibit A may be incorrectly described or referred to in Exhibit A,
or even though any properties in Lincoln County, Wyoming in which the Grantors own an
interest may be omitted entirely fi'om Exhibit A;
(2) all of the presently existing and valid unit or unitization agreements,
cormnunitization or pooling agreements, and the units and conmaunitized or pooled areas or
units created thereby (including, but not limited to, all units and communitized or pooled
areas or units formed under orders, regulations, rules or other official acts of any
governmental agency having jurisdiction) which affect or relate to any of the rights, titles
and interests conveyed hereby, or the production therefrom or allocable or attributable
thereto;
(3) all of the presently existing and valid operating agreements, farmout
agreements, letter agreements, participation agreements, area of mutual interest agreements,
assignments, agreements for the sale or purchase of oil, gas, casinghead gas or other
hydrocarbon substances, processing agreements, and all other presently existing and valid
contracts, agreements, assignments, conveyances and instruments which affect or pertain to
any of the rights, titles and interests conveyed hereby, or to the production therefrom or
allocable or attributable thereto; and
(4) all property, fixtures, equipment, appurtenances and other property which is
appurtenant to, belongs to, is affixed or incidental to, or is used in connection with the rights,
titles and interests conveyed hereby, together with any and all property, real or personal,
situated upon, or used, held for use or useful in cmmection with the exploration,
development or operation of the rights, titles and interests conveyed hereby, or in connection
with the production, treating, .storing, transporting or marketing of oil, gas and other
hydrocarbon substances produced therefrom or allocable or attributable thereto, including,
but not limited to, all wells, buildings, structures, separators, pumps, gathering systems,
tanks, tank batteries, surface leases, rights-of-way, easements, permits, licenses, servitudes
and all other surface rights and interests, and all additions, substitutions, replacements,
accessions and attachments to or for any and all of the foregoing.

This Blanket Conveyance is executed and delivered without warranties of any kind, whether
express, implied or statutory, and whether pertaining to title, condition or other matters. However,
this Blanket Conveyance is made with full substitution and subrogation of the Grantee in and to all
warranties, representations and covenants previously given or made by others with respect to the
rights, titles and interests conveyed hereby, and the Grantors assign and convey to the Grantee all
of the Grantors' rights under such warranties, representations and covenants including the right to
enforce the same.
