HomeMy WebLinkAbout90731731405 MEMORANDUM OF ASSIGNMENT OF CONTRACT FOR DEED FOR REAL PROPERTY THIS MEMORANDUM OF ASSIGNMENT OF, CONTRACT FOR DEED FOR REAL PROPERTY entered into this ~3 day of~, 2004, between FREEDOM, L.L.C, a Wyoming Limited Liability Company of P.O. Box 3393, Jackson, WY 83001 and SUZAN L. KENT, Personal Representative of the Estate of Jerry C. Rutherford, in Probate No. 4094 in The District court for the Third Judicial District, in and for Lincoln County, Wyoming, % Gardner Law Office, P.O. Box 96, Alton, WY 83110, and SUZAN L. KENT, of P.O. Box 106, Acton, CA 93510. WHEREAS, Freedom, L.L.C. and Jerry C. Rutherford entered in a Contract for Deed for Real Property on April 27, 1999, for the purchase of real property in Lincoln County, Wyoming, specifically Lot 207 of River Ranches Fishing and Equestrian Estates in Freedom, Wyoming, said Contract for Deed for Real Property having been made of record by the recording in the land records of Lincoln County, Wyoming, a Memorandum of Sale of Real Property in Book 429 PR at Pages 230 and 231 on April 28, 1999; and WHEREAS, in entering into that Contract for Deed, Jerry C. Rutherford was acting for the benefit of, and on behalf of himself; and WHEREAS, due to the untimely death of Jerry C. Rutherford, it is now necessary and appropriate for the Contract for Deed for Real Property to be assigned to SUZAN L. KENT; NOW, THEREFORE, Suzan L. Kent, Personal Representative of the Estate of Jerry C. Rutherford and Suzan L. Kent hereby agree to assignment of the Contract for Deed for Real Property, and Freedom L.L.C. consents to that assignment to Suzan L. Kent of the Contract for Deed for Real Property, as follows: 1. Suzan L. Kent hereby agrees to assume all responsibility for the obligations of the Buyer as stated therein for the purchase of property in Lincoln County, Wyoming, more particularly described as follows: Lot 207 of River Ranches Fishing and Equestrian Estates in Freedom, Wyoming, second filing, Lincoln County, Wyoming, according to that plat filed March 10, 1999, as Plat No. 383 and 383-A. 2. In consideration for the assignment of the Contract for Deed for Real Property provided herein, Suzan L. Kent hereby agrees to indemnify, save and hold harmless the Estate of Jerry C. Rutherford and/or Suzan L. Kent, Personal Representative of said Estate, from any and all obligations and liabilities under said Contract for Deed for Real Property for the purchase of said property. Freedom, L.L.C. hereby consents to the assignment by the Estate of Jerry C. Rutherford and/or Suzan L. Kent, Personal Representative of said Estate, of the Contract for Deed for Real Property provided herein to Suzan L. Kent and unconditionally releases the Estate of Jerry C. Rutherford and/or Suzan L. Kent, Personal Representative of said Estate, from any and all obligations and liabilities under said Contract for Deed for Real Property for the purchase of said property.
