HomeMy WebLinkAbout90848200469 QUITCLAIM ASSIGNMENT STATE OF WYOMING ) ) COUNTIES OF LINCOLN, SWEETWATER AND UINTA ) This Quitclaim Assignment is by and between OXY USA INC., whose address is P.O. Box 27570, Houston, Texas, as "ASSIGNOR", and EXPERT MANAGEMENT INC., whose address is 1000 Uniqema, Newcastle, Delaware 19720, as "ASSIGNEE". ' WHEREAS, CSG Exploration COmpany ("CSG") was a limited partner in the MOXA Limited Partnership ("MOXA") with Amoco Production Company ("Amoco") with respect to lands located within the MOXA Area in Sweetwater, Lincoln and Uinta Counties, Wyoming; and WHEREAS, CSG, Atlas Powder Company ("Atlas") and CRA Oil Exploration Company ("CRA") formed a Wyoming limited partnership known as AXOM Limited Partnership ("AXOM") as evidenced by that certain Certificate of Limited Partnership dated December 30, 1976 and recorded in Book 1096, Page 1166 in the records of Laramie County, Wyoming for the purpose of serving as the limited partner in MOXA; and WHEREAS, CSG and CRA subsequently sold their respective interests in AXOM to Amoco, and Amoco and CSG subsequently dissolved MOXA; and WHEREAS, pursuant to the MOXA dissolution MOXA assigned to CSG by Assignment of Overriding Royalty dated December 20, 1983 certain interests in lands owned by MOXA ("MOXA Assignment"); and WHEREAS, CSG was dissolved after the close of business on December 31, 1993 by its sole shareholder, OXY Research and Development Company; and WHEREAS, OXY Research and Development Company was dissolved after the close of business on December 31, 1993 by its sole shareholder, OXY Oil and Gas USA Inc.; and WHEREAS, OXY Oil and Gas USA Inc. was merged into ASSIGNOR effective December 31, 1993; and WHEREAS, Atlas changed its name to ICI Explosives USA Inc. effective May 1, 1992; and WHEREAS, ICI Explosives USA Inc. changed its name to E-One Holdings Inc. effective August 31, 2001; and WHEREAS, pursuant to an Asset Contribution Agreement dated August 31, 2001, E-One Holdings Inc. transferred its rights to certain assets, including but not limited to its interests in AXOM, to ASSIGNEE; and WHEREAS, ASSIGNOR desires to assign to ASSIGNEE any right it might have in interests and the lands assigned to CSG in the MOXA Assignment. NOW, THEREFORE, for valuable consideration, the receipt and adequacy of which are hereby acknowledged, ASSIGNOR hereby quitclaims, transfers, assigns, and delivers to ASSIGNEE, all of its right, title and interest that ASSIGNOR might have pursuant to that certain Assignment of Overriding Royalty dated effective April 1, 1983, and recorded in Book 224PR, Page 676 of the records of Lincoln County, in Book 761, Page 1138 of the records of Sweetwater County, and Book 488, Page 260 of the records of Uinta County, all in the state of Wyoming and covering the property described therein, as set forth on Exhibit "A" attached hereto. All of the interests described above are hereinafter collectively called the "Assigned Interests". TO HAVE AND TO HOLD the Assigned Interests unto ASSIGNEE, its successors and assigns, forever subject to the terms, reservations and conditions contained in the MOXA Assignment and as contained herein. All of the Assigned Interests, whether real or personal, are conveyed without WARRANTIES OF TITLE OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND WITHOUT WARRANTIES AS TO CONDITION, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
